These Client Management & Representation Guidelines (“Guidelines”) establish the general expectations, responsibilities, and standards between Gio Celenza Management (“Management”) and individuals who choose to participate in Management’s creator, talent, content, promotional, or related management services (“Clients”).
These Guidelines are intended to provide a clear understanding of how Management and its Clients are expected to conduct themselves while working together.
Gio Celenza Management is an independent, informal management arrangement and is not represented as a professional talent agency, law firm, corporation, or other licensed professional agency. Management provides organizational, administrative, promotional, and general management assistance on an informal basis.
These Guidelines are not intended to replace professional legal, tax, financial, or other professional advice.
Management and its Clients understand that their public conduct may reflect upon one another.
Clients represent themselves, their personal brands, projects, and associated accounts while also being associated with Gio Celenza Management. Likewise, Management represents its Clients when communicating with brands, creators, organizations, or other parties.
Accordingly, both Management and Clients are expected to conduct themselves responsibly, respectfully, professionally, and in good faith.
A Client’s association with Management does not authorize the Client to speak on behalf of Management unless Management has expressly authorized them to do so.
Clients must not falsely represent themselves as an owner, employee, officer, legal representative, attorney, or authorized spokesperson of Gio Celenza Management.
Clients are expected to:
Communicate honestly and respectfully with Management.
Respond to Management communications within a reasonable period of time.
Provide accurate information when requested.
Keep Management informed of relevant changes to their accounts, contact information, platforms, projects, or business relationships.
Follow reasonable instructions relating to brand opportunities, promotions, campaigns, communications, and other management activities.
Notify Management of any significant issue that could reasonably affect their public image, brand relationships, or ongoing projects.
Respect the privacy, rights, and boundaries of other individuals.
Respect applicable laws, platform rules, website policies, and third-party terms of service.
Avoid conduct that could reasonably place Management, another Client, a brand, or another organization at unnecessary legal or reputational risk.
Clients remain responsible for their own conduct and decisions.
Where Management provides a Client with editing or administrative access to a website, including websites hosted through Google Sites, such access is provided as a privilege for legitimate management, creative, informational, or promotional purposes.
Clients must not abuse, misuse, intentionally damage, disrupt, or substantially alter a website without authorization.
Clients must not:
Delete or intentionally damage website content without authorization.
Alter Management-owned branding, policies, contact information, legal notices, or other protected material without authorization.
Add misleading, fraudulent, discriminatory, defamatory, unlawful, or inappropriate content.
Add unauthorized third-party services, scripts, advertisements, tracking tools, or other material.
Use website access to impersonate Management or another individual.
Give unauthorized individuals administrative access.
Use website access to interfere with another Client’s content or information.
Use a website associated with Management to conduct unlawful activities.
Website editing privileges may be limited, suspended, or removed at Management’s discretion.
Because Clients and Management are associated with one another publicly, Clients are expected to understand that their use of these privileges reflects upon both the Client and Management.
Where Management provides or manages an email address for a Client through the Management domain, the Client understands that the email account is part of the Management arrangement.
Management may use Google Gmail/Google Workspace, Cloudflare, Mailjet, or other related services to provide, route, manage, or send email communications.
Clients are responsible for learning how to appropriately use their assigned email account and must use it fairly and responsibly.
Clients must not use Management-provided email accounts to:
Harass, threaten, discriminate against, or intimidate others.
Send spam or excessive unsolicited communications.
Impersonate another person or organization.
Conduct fraudulent or deceptive activities.
Send unlawful, malicious, or inappropriate material.
Attempt to damage or disrupt email services.
Misrepresent Management's position or authority.
Communicate with brands, organizations, or individuals in a manner that could reasonably create unnecessary legal or reputational issues for Management.
Clients must also take reasonable steps to protect their email credentials and must notify Management if they believe an account has been compromised.
As part of the management arrangement, Clients understand that Management may require administrative or login access to their Management-provided email account for legitimate management purposes, including email management, organization, security, communication, and representation.
Clients agree to maintain the required access and not intentionally interfere with Management's legitimate ability to manage the account.
Management will handle account information responsibly and in accordance with its applicable privacy practices.
Clients must communicate all relevant brand deals, sponsorships, promotions, collaborations, public relations opportunities, and similar commercial opportunities to Management.
Where appropriate, Management may assist with:
Brand communications.
Promotional opportunities.
Collaboration opportunities.
Public relations opportunities.
General organization of deals and opportunities.
Communications with brands or organizations.
Scheduling and coordination.
Clients should not intentionally conceal relevant brand opportunities or independently represent that Management has approved or rejected an opportunity when Management has not done so.
Management may attempt to obtain opportunities for Clients; however, brand deals, collaborations, PR opportunities, sponsorships, campaigns, invitations, or other opportunities are never guaranteed.
Management does not guarantee a particular number, frequency, value, or type of opportunities.
Management will make reasonable efforts to provide the services it has agreed to provide to its Clients.
These services may include, depending on the Client and circumstances:
Email Management.
General administrative support.
Scheduling and coordination.
Communication assistance.
Brand opportunity outreach.
Public relations assistance.
General creator-management support.
Assistance with cease-and-desist communications or other limited legal-support matters relating to personal copyrights or content integrity.
Any legal-related assistance provided by Management is limited administrative or organizational assistance and is not legal representation or legal advice.
Management does not claim to be a law firm and Clients should seek a qualified attorney when professional legal advice or representation is necessary.

Clients are expected to attend scheduled meetings or provide reasonable notice when they cannot attend.
Management will likewise make reasonable efforts to honor scheduled meetings and provide its services in good faith.
Clients may submit management-related requests, questions, information requests, resource requests, distribution requests, collaboration requests, account or access issues, and other applicable matters through the Management request form:
Submit a Request to Gio Celenza Management
The request form may allow a Client to direct a request to a specific Management division or associated organization, depending on the nature of the request.
Clients should provide accurate and sufficiently descriptive information when submitting a request so that Management can understand and appropriately respond to the matter.
Submitting a request does not guarantee that Management will be able to fulfill the request or provide a particular result.
Gio Celenza Management promotes diversity, inclusion, respect, and equal treatment.
Clients must not engage in discriminatory, prejudiced, hateful, or intentionally demeaning conduct toward another person or group.
This includes conduct based on characteristics protected by applicable law as well as other forms of targeted harassment, hostility, or degrading treatment.
Clients must not use Management-provided websites, email accounts, social media associated with Management, or other Management resources to promote discriminatory or hateful content.
Management expects Clients to treat fellow Clients, Management, brands, creators, employees, organizations, and members of the public with reasonable respect.
Clients must respect the terms, policies, intellectual-property rights, privacy rights, and other applicable rules of third parties.
Clients must not intentionally attempt to create legal disputes between Management and another company, creator, organization, or individual.
Clients should not make false, defamatory, threatening, or knowingly misleading statements about brands, organizations, creators, or other individuals.
Nothing in these Guidelines prevents a Client from making a truthful complaint, reporting misconduct, exercising legal rights, or expressing a genuine opinion. However, Clients should communicate responsibly and avoid intentionally creating unnecessary legal or reputational risk.
Clients are expected to respect the privacy of Management, other Clients, brands, organizations, and members of the public.
Clients must not intentionally disclose another person's private information, login credentials, personal communications, confidential business information, or other information that they are not authorized to disclose.
Clients must also follow Management's applicable Privacy Policy and privacy-related requirements.
Management may process Client information when reasonably necessary to provide management services, administer accounts, communicate with Clients, coordinate opportunities, maintain websites, manage email systems, or otherwise operate the Management arrangement.
Clients understand that third-party services used by Management, including Google, Google Sites, Google Forms, Cloudflare, Mailjet, and similar providers, may have their own privacy policies and terms of service.
Clients are responsible for reviewing and respecting the applicable policies of third-party services they use.
Management may use Google Forms or other online systems for purposes including:
Collecting Client information.
Applications and submissions.
Management-related forms.
Brand opportunities.
Project information.
Scheduling or organizational purposes.
Other administrative matters.
Clients are expected to provide truthful and accurate information when completing Management forms.
Clients must not intentionally submit false, fraudulent, abusive, or malicious information.
Management may operate or assist with projects associated with independent record-label names, including Outmerit Records, Mecklenburg Records, and Sisters East Records.
A Client may request permission to use music or other material associated with one of these record labels by contacting the specific record label through its designated email address.
Permission to use music, recordings, artwork, or other copyrighted material is not automatically granted merely because a Client is associated with Gio Celenza Management.
Clients should obtain appropriate permission before using material belonging to another individual, creator, artist, or record-label project.
Clients retain responsibility for their own original content and intellectual-property rights.
Management may provide limited assistance with matters involving personal copyrights or content integrity, including assistance preparing or organizing cease-and-desist communications.
Management does not represent that every Client's intellectual property is formally registered, trademarked, or otherwise legally protected in every jurisdiction.
Clients should seek professional legal advice when they require formal copyright, trademark, licensing, contract, or other legal services.
Clients must not knowingly use another person's copyrighted material, trademarks, photographs, music, videos, artwork, or other protected material without appropriate permission or a lawful basis.
Clients agree to respect and follow the principles and applicable requirements contained within Management's:
Terms of Service
Privacy Policy
Cookie and privacy-related notices
Website policies
Content removal and copyright procedures, where applicable
Other reasonable Management policies communicated to Clients
Where a third-party service is involved, the Client must also follow that service's applicable terms and policies.
Clients understand that their public conduct may affect their own reputation as well as the reputation of Gio Celenza Management and other associated Clients.
Clients are therefore expected to use reasonable judgment when participating in:
Social media activity.
Public communications.
Brand partnerships.
Collaborations.
Interviews.
Promotions.
Online communities.
Management-related communications.
Management does not require Clients to have a perfect public image or to avoid expressing personal opinions. However, serious misconduct, harassment, discrimination, unlawful activity, intentional deception, or conduct that materially damages the Management relationship may result in termination of the relationship.
Gio Celenza Management reserves the right to discontinue or end its management relationship with a Client at any time and for any reason, or without providing a specific reason, subject to any notice Management chooses to provide.
Where reasonably practicable, Management will provide the Client with notice before ending the arrangement.
Management may also immediately restrict access to Management systems, websites, email accounts, or other resources when reasonably necessary to protect Management, another Client, a third party, an account, or the integrity and security of its systems.
A Client may also choose to discontinue their relationship with Management.
If a Client repeatedly or seriously fails to uphold these responsibilities, Management may take appropriate action, including:
Providing a reminder or warning;
Restricting website or account privileges;
Restricting access to Management resources;
Requiring corrective action; or
Ending the Client's association with Management.
Depending on the seriousness of the conduct, Management may skip one or more of these steps.
Examples of conduct that may result in removal include, but are not limited to:
Abuse of website editing privileges.
Abuse of Management-provided email accounts.
Discriminatory or prejudiced conduct.
Harassment or threats.
Repeated dishonesty with Management.
Intentionally concealing relevant brand deals or opportunities.
Serious violations of Management policies.
Unauthorized access to another person's account or information.
Intentional misuse of Management resources.
Conduct that creates significant and unnecessary legal or reputational risk.
Management will make reasonable efforts to provide the services described to Clients; however, no specific result is guaranteed.
Management does not guarantee:
Brand deals.
Sponsorships.
Paid promotions.
Collaborations.
Public relations opportunities.
Follower growth.
Revenue.
Platform verification.
Media coverage.
Legal outcomes.
Copyright enforcement outcomes.
A specific number of meetings or opportunities.
Management's role is to provide reasonable assistance and pursue appropriate opportunities where possible.
Because some Clients may be minors, Management recognizes that certain matters may require involvement from a parent or legal guardian.
Where appropriate, Management may request that a parent or legal guardian be involved in matters concerning contracts, compensation, taxes, significant brand arrangements, legal matters, account ownership, or other decisions requiring adult involvement.
Nothing in these Guidelines is intended to override the legal rights or responsibilities of a Client's parent or legal guardian.
The parties understand that Gio Celenza Management is providing an informal management arrangement and is not presenting itself as a professional talent agency, law firm, financial institution, tax professional, or other licensed professional service.
These Guidelines are intended primarily to establish expectations, responsibilities, boundaries, and standards for the relationship.
Nothing in these Guidelines should be interpreted as a guarantee of employment, income, brand opportunities, legal representation, or any particular professional outcome.
Management may update these Guidelines when reasonably necessary to reflect changes to its services, websites, technology, policies, or operating practices.
Clients may be informed of material updates through reasonable communication methods.
Continued participation in the Management arrangement following an update indicates that the Client has been provided an opportunity to review the updated Guidelines.

By participating in services provided by Gio Celenza Management, the Client acknowledges that they have been provided these Guidelines and understands the general responsibilities and expectations described above.
These Guidelines are intended to establish a clear and respectful working arrangement between Management and its Clients and are not presented as a formal professional-agency contract.
